1. IN GENERAL
These general conditions of sale form, along with the order mentioned below, the entire contractual relationship between the parties regarding the subject matter of the order and replace the previous versions in electronic catalogs and other agreements reached between the parties, except as may be agreed in writing on letterhead ITALIAGROUP

2. PRICES

ITALIAGROUP CORPORATE SRL will do everything possible to keep prices unchanged in the electronic catalog, however ITALIAGROUP CORPORATE SRL reserves the right to change these prices before the expedition, promising to promptly notify the customer so that they may possibly cancel the order. In case of change of prices, product delivery will be made after the customer has confirmed the order on the Notice of ITALIAGROUP CORPORATE SRL.

3. ORDERS
Orders may be submitted as detailed in the pages of an electronic catalog.
The order will be considered as a contract proposal, since this electronic catalog has only an advertising function, and thus the invitation to offer. Acceptance of ITALIAGROUP CORPORATE SRL may also occur through enforcement of orders.

4. DELIVERIES
Delivery of the products will take place at predetermined transport and cost, both of the pages of the catalog, unless it should provide a different delivery service, specifically requested by the customer.

6. PASSING OF RISK AND PROPERTY '

The customer assumes the obligation to immediately refund ITALIAGROUP CORPORATE SRL of all products sent to it, but not yet owned by him, in case the customer fails to comply punctually to pay any sum due to ITALIAGROUP CORPORATE SRL. To this end, the customer will allow ITALIAGROUP CORPORATE SRL, its agents, to enter their premises, only to decide to withdraw the products outstanding. It remains, however, understood that the request and the actual return products will not affect the right to request ITALIAGROUP CORPORATE SRL full compensation for damage suffered as a result of the failure of the customer.

7. WARRANTY
ITALIAGROUP CORPORATE SRL replace or repair the goods supplied, or return its price, at its discretion if, after a diligent and proper use by the customer, defects are detected to be notified in writing by the client to ITALIAGROUP CORPORATE SRL within 12 (twelve) months from date of shipment, or within that period of time in different time indicated by ITALIAGROUP CORPORATE SRL for specific products.
The products or parts of them that the issue relates, must be returned in that period of time properly packaged, postage, by the customer and according to those specific instructions that ITALIAGROUP CORPORATE SRL may have given the time of delivery. The products or parts thereof returned must be accompanied by a note showing the invoice number on the purchase and description of the nature of the defect, as well as any other information specified by ITALIAGROUP CORPORATE SRL at the time of delivery. All products or parts thereof replaced by ITALIAGROUP CORPORATE SRL become the exclusive property of the same. This warranty supersedes any warranty or other provisions established by law in terms of quality or fitness for any particular use of the products, except those provisions which by law can not be waived. Regarding products sold provisions and conditions of warranty will be valid as the manufacturer of the product.

 8. PRODUCT INFORMATION AND ITS AVAILABILITY '
Unless otherwise specified, the "technical parameters" represent the limits within which the customer can use the product, with particular reference to State security. The dimensions and other physical characteristics are subject to normal commercial tolerances. It is the responsibility of the customer to determine the suitability of the product prior to use, they should do the same.

9. LIMITATION OF LIABILITY '

10. PAYMENTS
Payments can be made as follows:
a) bank transfer in advance of the order first, second costs and conditions set out in the electronic catalog;
b) cash on delivery (only for certain items or sale price);
Any different payment terms than those mentioned above shall be agreed in writing with ITALIAGROUP CORPORATE SRL prior to the execution order.
All payments will be made in favor of ITALIAGROUP CORPORATE SRL, without the customer can offer no compensation, deduction or counter claim.
Where payments are not made on time, ITALIAGROUP CORPORATE SRL reserves the right to charge interest on late payments at the rate of interest in which art. 5, d. Decree n.231 of October 9, 2002 in force, subject ITALIAGROUP the right to claim any further damages, and reimbursement of any costs or expenses incurred for the recovery of their claims, including legal fees. In this case, all sums then payable by the customer ITALIAGROUP CORPORATE SRL, also in relation to other supplies, shall become immediately payable in full, having to that purpose intended to withdraw any deferred payment granted by ITALIAGROUP CORPORATE SRL.

10.1 FAILURE TO PAY

13. REFUNDS AND CHARGES FOR
Will not be any return of goods without the prior written consent of ITALIAGROUP CORPORATE SRL, except where a refund is provided in the application of the provisions relating to warranty.
To qualify for reimbursement, once obtained the consent of ITALIAGROUP CORPORATE SRL, the customer must return the products, not used in the same condition as they were originally delivered to him.  14. CONDITIONS GOVERNING THE RETURN OF PRODUCTS ITALIAGROUP CORPORATE SRL
For the delivery of products under the preceding paragraph or other provisions of these general conditions, it is understood that:

15. CANCELLATION OF ORDERS
That part of orders placed with payment by bank transfer, cash or credit card that can not be fully processed on the basis of the stock will be canceled and the money be returned. ITALIAGROUP CORPORATE SRL will not release under any circumstances, pro forma invoices.
ITALIAGROUP CORPORATE SRL reserves the right to refuse business with any entity. Moreover, ITALIAGROUP CORPORATE SRL reserves the right to refuse or cancel any order, whether or not payment has been received, notifying the customer via fax, telephone or e-mail within 24 (twenty four) hours (excluding weekends and public holidays) from receipt of order. Where ITALIAGROUP CORPORATE SRL waste or cancel an order that has already been canceled, ITALIAGROUP CORPORATE SRL promptly return the full amount received in the manner that this purpose will be specified by the customer. It remains, however, understood that the refund of money is the sole burden of ITALIAGROUP CORPORATE SRL for the rejection or cancellation of the order, being in this respect include any kind of liability to ITALIAGROUP CORPORATE SRL.

16. COPYRIGHT AND PATENTS
ITALIAGROUP CORPORATE SRL warns customers that the products presented in the electronic catalog may be subject to patent, trademark, copyright or other intellectual property rights. CORPORATE ITALIAGROUP Ltd holds the copyright on this electronic catalog may not be reproduced in whole or in part without prior written consent of ITALIAGROUP CORPORATE SRL.

18. COMPETENCE
The Forum of Belluno will be responsible exclusively for any dispute arising from the general conditions of sale to the commercial relationship between ITALIAGROUP CORPORATE SRL and customers.

19. EXPORTS
These terms and conditions of sale do not apply to exports for which different conditions are applied. However, if the products are subsequently exported, it will be your responsibility to obtain, at its own expense all necessary licenses, also complying with export rules between Italy and the country of destination, with particular reference to standards for the export of high technology products.

20. SERVICE HELP
The service offers help ITALIAGROUP a consultancy service on the products in the catalog, the service is available via mail, fax or phone number.
